• Reproduce, distribute, or create derivative works without written permission
• Reverse engineer or attempt to extract source code or methodologies
• Remove or alter any copyright, trademark, or proprietary notices
• Use our intellectual property for competitive purposes

Payment Terms

Payment terms for our consultancy services will be specified in individual service agreements. Unless otherwise stated:

• Invoices are payable within 30 days of issue
• Late payments may incur additional charges as permitted by law
• All fees are exclusive of applicable taxes
• Refunds are subject to the terms specified in individual service agreements

Confidentiality

UnitySphere acknowledges that in the course of providing services, we may have access to confidential business information. We commit to:

• Maintain strict confidentiality of all client information
• Use confidential information solely for the purpose of providing services
• Implement appropriate security measures to protect sensitive data
• Not disclose confidential information to third parties without consent

Limitation of Liability

To the maximum extent permitted by applicable law, UnitySphere's total liability for any claims arising from or related to our services shall not exceed the total amount paid by you for the specific services giving rise to the claim.

UnitySphere shall not be liable for:

• Indirect, incidental, special, or consequential damages
• Loss of profits, revenue, data, or business opportunities
• Damages resulting from your failure to implement recommendations
• Market conditions or external factors beyond our control

Our recommendations and strategies are based on available information and industry best practices, but we cannot guarantee specific business outcomes or results.

Our services and website are provided "as is" without warranties of any kind, whether express or implied. We disclaim all warranties, including but not limited to:

• Merchantability and fitness for a particular purpose

Governing Law

These terms of service shall be governed by and construed in accordance with the laws of Luxembourg, without regard to its conflict of law principles.

Any disputes arising from or relating to these terms or our services shall be subject to the exclusive jurisdiction of the courts of Luxembourg. Both parties consent to the personal jurisdiction of such courts.

Termination

Either party may terminate the service relationship at any time with appropriate notice as specified in individual service agreements. UnitySphere reserves the right to terminate access to our services immediately if:

• You breach any terms of this agreement
• You fail to make required payments
• Your use of our services violates applicable laws
• We determine that continuing the relationship is not in our best interests

Upon termination, your right to use our services will cease immediately, and any outstanding obligations will survive termination.

Force Majeure

UnitySphere shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labour disputes, or government actions.

Modifications

UnitySphere reserves the right to modify these terms of service at any time. Updated terms will be posted on our website with a revised effective date. Your continued use of our services after such modifications constitutes acceptance of the updated terms.

Severability

If any provision of these terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be replaced with a valid provision that most closely approximates the intent of the original provision.
